Alaska School Nurses Association Bylaws

The mission of the Alaska School Nurses Association is to support school nurses and school nursing in Alaska
Revised 2009

Article I - Name
The name of the organization shall be the Alaska School Nurses Association. Inc.
(Hereinafter known as the Association or ASNA)

Article II - Goals
The goals of the Association shall be:
Section 1. To operate as a professional organization for the school nurses in
the state of Alaska, on a non-profit basis.
Section 2. To promote and advance the quality of school health services and
health education throughout the state.

Article III - Affiliation
Section 1. The Association shall be an affiliate of the National Association
of School Nurses.
Section 2. The Association shall be an affiliate of the Alaska Nurses
Association.

Article IV- Membership and Dues
Section 1. Eligibility: Active membership in the Association shall be open to
any professional nurse who meets the requirements for
School Nursing in the State of Alaska, and who is in
compliance with such other qualifications or
requirements set forth in these bylaws.
Section 2. Instatement : Any person eligible for membership shall become a
member upon payment of the applicable dues.
Section 3. Classification: There shall be seven classifications of membership:
Active, Associate, Retired, Student,
Business/Professional Organization, Member-At-Large and Honorary.

  1. Active Members
    1. To qualify for Active membership in ASNA one must:
      1. be a registered professional nurse:
      2. have as their primary assignment, the administration, education, or the provision of school health services.
    2. Any retired member who desires to remain in the Active membership classification shall be required to pay full Active dues and upon payment of dues, shall be granted Active membership privileges. 
  2. Associate members shall be: Any registered professional nurse who is not eligible for active membership, but who serves a school, upon payment of dues, shall be an associate member.
  3. Retired members shall be: Any school nurse who is a member of ASNA, upon retirement, shall be eligible to become a retired member, upon notification to the ASNA Executive Board.
  4. Student members shall be:
    1. Students of a school of professional nursing, not employed as a school nurse on a full or part-time basis.
    2. Student membership shall not be granted to a person who has previously attained or been eligible for Active status.
    3. Student membership status shall not be renewed more than once for a graduate nurse.
  5. Institutional members shall be:
    1. Those Corporations or persons who desire to support the goals of the Association and whose members are not eligible for Active or Associate membership in the Association.
    2. Granting of a Corporate/Business/Professional Organization membership shall in no way bind the Association to support philosophies or policies of any Corporate/Business/Professional Organization.
  6. Member-At-Large shall be: Persons who hold a special interest in or who are working with ASNA and who do not fit in to any other ASNA membership Classification.
  7. Honorary member shall be: Any ASNA member who has achieved honorary member status with the NASN shall also be entitled to membership in ASNA.

Section 4. Rights- Active members shall be entitled to exercise full membership rights

Section 5. Rights – Restrictions

  1. Associate, Retired and Student shall have all the privileges of membership, except the privilege of voting and holding office.
  2. Corporate/Business/Professional Organization and Member-at-large members shall have all the privileges of membership except those of voting, holding office, and serving on a committee.

Section 6. Dues – Annual dues shall be established by the governing body.

Article V - Fiscal and Membership Year
Section 1. The fiscal and membership year of the Association shall be from
April 1 through March 31.
Section 2. Audits: the financial records of the organization shall be audited
annually by three members, representing a minimum of two
districts.

Article VI - Officers of the Executive Board
Section 1. Composition: The elected officers of the organization shall be
President, Vice-President, NASN director, Secretary, and
Treasurer. The immediate Past-President will remain on the board
for one year. These officers shall be designated as the Executive
Board.
Section 2. Eligibility: Only active members of the Association for at least
one year are entitled to hold office. All officers are eligible for
re-election to consecutive terms, with exception of the NASN Director.
Section 3. Term of Office: The President, Vice-President, Secretary and
Treasurer shall each serve for a term of one year or until their
successors are elected. The NASN Director shall serve for one
four-year term. All terms of office shall begin June 1, with
exception of the NASN Director whose term shall begin after
NASN installation.
Section 4. Vacancy: A vacancy in the office shall be filled by appointment of
the Executive Board-, who has the authority to request
a special election.

Article VII - Duties of the Executive Board
Section 1. Duties: The officers shall perform the duties prescribed by these Bylaws.

  • The President shall:
    1. Preside at all meetings of the Executive Board, the annual meeting and at all membership meetings.
    2. Appoint such special committees as deemed necessary.
    3. Be an ex-officio member of all committees, except the Membership/Nomination committee.
    4. Perform such other duties as may be required.
  • The Vice President shall:
    1. In the absence or disability of the President, perform the duties of the President.
    2. Perform such other duties as may be required or assigned by the President.
    3. Serve as a leader or member of other committees as assigned by the President.
  • The Past President shall:
    1. In the absence or disability of the President and Vice President, perform the duties of the president.
    2. Perform such other duties as may be required or assigned by the President.
  • The NASN Director shall:
    1. Attend the annual meeting of the National Association of School Nurses and NASN Board of Director Meetings.
    2. Act as liaison for ASNA/NASN.
  • The Secretary shall:
    1. Record the proceedings of all meetings of the organization.
    2. Perform such other duties as may be assigned by the President.
  • The Treasurer shall:
    1. Have general supervision of the financial affairs of the organization.
    2. Perform such other duties as may be assigned by the President.
    3. Act as chairperson of the Financial Committee.
    Section 2. Performance: If an officer misses two consecutive Executive Board meetings without authorized excuses that officer may be removed from office. The President has the authority to excuse an officer from attending a meeting.

    Article VIII - Membership Meetings
    Section 1.  Composition: The composition of the membership meetings include the 
                     elected officers. The Standing Committee chairpersons as defined
                     in Article X and interested members.
    Section 2 . Duties:  The Executive Board shall: 
                    A. Formulate Standing Committee guidelines and their guidelines as needed, which shall be 
                         reviewed periodically. 
                    B. Approve Standing Committee members who are appointed by
                         the President.
                    C.  Approve plans, including budget, for the annual conference. 
                    D.  Perform business matters that properly come before it. 
    Section 3.  Meetings:  Meetings of the Executive Board shall be   
                        held at least quarterly.
    Section 4.  Quorum: A minimum of three members of the Executive Board 
                        shall constitute a quorum.

    Article IX - Executive Board Duties
    Section 1.  Annual Meeting: The Association shall hold an annual
                     meeting to: conduct business, hear reports of progress of the 
                     past year, amend bylaws, and provide continuing education. 
    Section 2.  Special Meetings:  Special meetings of the general membership 
                     concerning National or Regional matters may be called by the 
                     Executive Board as it deems proper and necessary.
    Section 3.  Quorum: A majority of active members present shall constitute a
                     quorum.
    Section 4.  Voting: Decisions shall be made by a majority vote of the members present.

    Article X - Standing Committees
    Section 1.   Titles:  There shall be the following standing committees: 
                      Finance, Legislative, Membership/Nominations, Professional 
                      Development, and Newsletter.
    Section 2.   Composition:  The composition of the standing committees shall
                      be approved by the Executive Committee.
    Section 3.   Duties:  The members of all organizations standing committees
                       shall perform the duties of their committees as set forth in    
                        these bylaws.
    Section 4.   Professional Development:  The Professional Development 
                      Committee shall: 
                        A. Be composed of a chairperson and other 
                            members.
                        B. Provide programs that promote the professional and personal 
                            growth of school nurses.
    C. Will assist the conference planners as needed.

    Section 5.  Finance:  The Finance Committee shall:

    1. Be composed of the Treasurer as chairperson and other members.
    2. Study fiscal matters of the organization.
    3. Prepare and present a financial report annually at the general meeting.
    4. Obtain a majority vote of full membership for any expenditure over $1,500.00, excluding the annual ASNA Conference.

    Section 6.   Legislative:  The Legislative Committee shall: 

    1. Be composed of a chairperson and other members.
    2. Work to establish relationships, which will inform the membership of legislation affecting school health services and school nursing.
    3. Review pending legislation relative to school health services, school nursing, and the welfare of children.

    Section 7.   Membership/Nominations:  The Membership/Nominations Committee shall:

    1. Be composed of a chairperson and other members.
    2. Promote membership in the Association and follow guidelines as established by the Executive Committee,
    3. Place on the ballot the name of at least one candidate for each office to be filled. Collect and tally all ballots received.

    Section 8.   Newsletter:  The Newsletter Committee shall: 

    1. Be composed of a chairperson and other members.
    2. Work with the Executive Committee to send a minimum of two organization newletters each fiscal year to all members.

    Article XI - Elections 
    Section 1.   Elections: A slate of nominees for offices shall be presented at
                      the annual meeting. Nominations for offices may also be taken 
                      from the members during the annual meeting. Voting shall occur
                      at the annual meeting by registered members.  Members 
                      unable to attend the annual meeting may vote by absentee
                      ballot. A majority of votes will determine the election. 
    Section 2.   Eligibility:  Only Active members of the organization shall be 
                       eligible to be elected to office, as per Article VI, Section 2.

    Article XII - Amendments
    Section 1.   These bylaws can be amended by a two-thirds vote of members 
                      present at the annual meeting.

    Article XIII - Parliamentary Authority
    Section 1.   Roberts Rules of Order newly revised shall apply on all questions 
                     of procedure and parliamentary laws not specified in these 
                     bylaws.
